Kenneth is the Head of our Corporate and Commercial Department. He has extensive experience in advising corporations, private equity investors, individuals and multinational clients on a variety of corporate and commercial matters including mergers and acquisitions, employment, banking and loans, joint ventures, corporate restructuring, structuring of multinational business operations, shareholder agreements and general commercial contracts. Kenneth also regularly advises clients on PRC-related matters including cross-border investment, mergers and acquisitions and employment and property issues. In addition to his commercial practice, Kenneth also advises private clients in relation to trust, estate planning and family succession planning.

    • Advising a Chinese multinational technology and investment holding conglomerate listed on the Hong Kong Main Board of the Stock Exchange of Hong Kong Limited on employment, corporate governance and general compliance issues including employment contracts and employee share option schemes
    • Advising an International oil trading company for the acquisition of an industrial building in a deal worth HK$150 million and its subsequent disposal via an investment company for a consideration of HK$800 million
    • Advising on the restructuring of a multi-jurisdiction group of companies and business operations owned by a high-net-worth family engaged in the traditional business of woven label manufacturing industry for over 60 years as part of family business succession planning
    • Acting as Hong Kong Counsel for a global diamond jewelry house in support of its application for the proposed initial public offer and listing of its equity shares on Bombay Stock Exchange Limited and The National Stock Exchange of India Limited
    • Acting as general counsel legal adviser to a State-owned Enterprise in the PRC on general compliance and corporate finance matters and in particular, in a transaction for subscription for convertible bonds in a deal worth HK$300 million
    • Acting for a multi-billion PRC Corporation specialising in the telecommunication industry to acquire the shares in a HK company which holds SFC regulated licences and assisting/facilitating client to obtain approval from the SFC for the transfer
    • Acting for a leading and well-established company in the watches and timepiece industry to review their master supply agreements and distributorship agreements for the supply and distribution of their products in Asia
    • Acting for one of the pioneers of integrated system automation solutions to the local travel industry to obtain the exclusive distributorship rights in respect of a global distribution system in Hong Kong
    • Advising a leading global estate agency, residential and commercial property agency on its establishment of a joint venture in Shanghai with a leading investment firm based in the PRC to engage in the business of property consultation and management
    • Advising an investment holding company listed on the Hong Kong Main Board of the Stock Exchange of Hong Kong Limited engaged in the manufacture and sale of electric charging products globally on its appointment of distributors in Germany and Austria
    • Advising a globally renowned shipbuilding and luxury yacht manufacturing company on corporate governance issues and preparing of various agreements and contracts to facilitate its business operations in Asia
    • Acting for a GEM Board Listed Company to establish a Joint Venture company with a supplier/manufacturer to conduct distribution services
